2. Nature of the Website; No Gambling Offered by Sweeps Flow

Sweeps Flow is not responsible or liable for any Third Party’s content, statements, omissions, errors, offers, promotions, actions, inactions, decisions, services, products, policies, legal compliance, disputes, losses, damages, delays, failures, account closures, bonus denials, verification issues, payment issues, prize issues, tax issues, or any other matter arising from or relating to a Third Party.

Your use of any Third Party website, platform, product, service, promotion, or offer is solely between you and that Third Party and is governed by that Third Party’s own terms, rules, privacy policy, disclosures, and applicable laws. You access and use Third Parties at your own risk.

6. Promotions, Giveaways, Sweepstakes, and Scratch Cards

From time to time, Sweeps Flow may advertise, describe, host, sponsor, co-sponsor, facilitate, or promote giveaways, sweepstakes, scratch cards, promotional offers, free-play opportunities, or other promotions (“Promotions”). Each Promotion may be subject to separate official rules, eligibility requirements, entry instructions, prize limitations, geographic restrictions, age restrictions, verification procedures, tax requirements, and other terms (“Official Rules”). If there is a conflict between these Terms and the Official Rules for a specific Promotion, the Official Rules will control for that Promotion.

Unless expressly stated otherwise in the applicable Official Rules, no purchase is required to participate in any Promotion sponsored by Sweeps Flow, and a purchase will not increase your chances of winning. Alternative methods of entry, free-play options, or free-entry instructions may apply as stated in the applicable Official Rules.

For any giveaway or Promotion, prize eligibility may be limited to users who sign up through a link on sweepsflow.com or through marketing material provided or approved by Sweeps Flow, unless otherwise stated in the applicable Official Rules or required by law. All eligibility determinations are subject to verification, the applicable Official Rules, and applicable law.

6.1 Scratch Cards

Scratch cards relating to partner casinos or promotional partners may include one of the following stated prize categories, subject to availability, verification, and the applicable Official Rules: a discounted package, $5 cash, $20 cash, or $100 cash.

Each scratch card Promotion is limited to two thousand (2,000) total attempts, unless otherwise stated in the applicable Official Rules. After two thousand (2,000) total attempts, the scratch card may become read-only and may no longer allow participation.

Multiple attempts, duplicate entries, automated entries, bot activity, fraudulent activity, circumvention of entry limits, use of multiple accounts, use of false information, use of another person’s identity, or any other attempt to manipulate or abuse a Promotion is strictly prohibited and may result in disqualification, forfeiture of any prize, denial of redemption, removal from the Website, and any other remedy available to Sweeps Flow under these Terms or applicable law.

Prizes may be redeemed only by eligible participants who satisfy all applicable requirements, including any requirement that the participant used a Sweeps Flow affiliate link, where such requirement is stated in the applicable Official Rules and permitted by law. Sweeps Flow reserves the right to verify eligibility before awarding or facilitating any prize.

All prizes are subject to applicable federal, state, and local laws, regulations, taxes, restrictions, and reporting requirements. Winners are solely responsible for any taxes, fees, costs, or expenses associated with claiming, receiving, redeeming, or using a prize, unless otherwise stated in the applicable Official Rules.

7. Responsible Social Gaming and Gambling-Related Content

Sweeps Flow does not endorse, encourage, or recommend irresponsible gambling, problem gambling, compulsive gambling, unlawful gambling, or unlawful use of any social casino, sweepstakes casino, or gaming platform.

If you believe you may have a problem with gambling, social gaming, sweepstakes casinos, casino-style games, or related activities, you must not use the Website. You represent and warrant that you own or have all necessary rights to submit your User Content and to grant the license above. You further agree that your User Content will not:

violate any law, regulation, court order, or third-party right;
contain defamatory, false, misleading, fraudulent, obscene, hateful, abusive, harassing, threatening, or otherwise unlawful material;
infringe any copyright, trademark, trade secret, privacy right, publicity right, or other proprietary right;
contain malware, spyware, viruses, bots, scripts, or other harmful code;
promote unlawful gambling, fraud, scams, or other illegal activity;
impersonate any person or entity or misrepresent your affiliation with any person or entity; or
interfere with the operation, safety, integrity, or reputation of the Website or Sweeps Flow.

Sweeps Flow may, but has no obligation to, monitor, edit, remove, disable, restrict, or refuse any User Content at any time and for any reason, including if we believe User Content violates these Terms or is otherwise inappropriate. Sweeps Flow is not responsible for User Content posted by users or other third parties.

10. Prohibited Conduct

You agree not to:

use the Website for any unlawful, fraudulent, abusive, deceptive, or harmful purpose;
use the Website if you are under twenty-one (21) years of age;
attempt to bypass eligibility requirements, entry limits, geographic restrictions, or verification procedures;
submit false, misleading, incomplete, or inaccurate information;
use bots, scripts, automated systems, scraping tools, or similar technologies without our prior written permission;
interfere with or disrupt the Website, servers, networks, security features, or other users;
attempt to gain unauthorized access to any account, system, data, or network;
copy, reproduce, distribute, sell, resell, exploit, or commercially use the Website or its content without our prior written consent;
use the Website to harass, threaten, abuse, defame, or harm any person or entity; or
engage in any conduct that Sweeps Flow determines, in its sole discretion, is harmful to Sweeps Flow, the Website, other users, partners, affiliates, advertisers, sponsors, or Third Parties.

11. Intellectual Property

The Website and all content, features, functionality, designs, text, graphics, logos, icons, images, audio, video, software, code, databases, trademarks, service marks, trade names, and other materials made available by Sweeps Flow are owned by Sweeps Flow, its licensors, or other content providers and are protected by copyright, trademark, trade secret, and other intellectual property and unfair competition laws.

You may access and use the Website only for your personal, non-commercial, lawful use. You may not copy, reproduce, modify, publish, display, distribute, transmit, sell, license, create derivative works from, or exploit any part of the Website without Sweeps Flow’s prior written consent, except as expressly permitted by law.

12. Privacy

Your use of the Website may be subject to our Privacy Policy, if one is posted on the Website. By using the Website, you consent to the collection, use, disclosure, and processing of information as described in any applicable Privacy Policy.

13. Disclaimer of Warranties

To the maximum extent permitted by law, the Website and all content, features, links, promotions, reviews, rankings, message boards, information, and services made available through the Website are provided on an “as is,” “as available,” and “with all faults” basis, without warranties of any kind, whether express, implied, statutory, or otherwise.

To the maximum extent permitted by law, Sweeps Flow disclaims all warranties, including, without limitation, warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, completeness, reliability, availability, security, and uninterrupted or error-free operation.

Sweeps Flow does not warrant or represent that:

the Website will be accurate, complete, current, uninterrupted, secure, or error-free;
Website content will meet your expectations or requirements;
Third Party offers, promotions, bonuses, prizes, or information will be accurate, available, honored, or suitable for you;
any Third Party will comply with its own terms, policies, promises, advertisements, laws, or obligations; or
any defects, errors, or omissions will be corrected.

14. Limitation of Liability

To the maximum extent permitted by law, Sweeps Flow LLC and its owners, officers, directors, members, managers, employees, contractors, contributors, editors, agents, affiliates, licensors, advertisers, sponsors, successors, and assigns shall not be liable for any direct, indirect, incidental, consequential, special, exemplary, punitive, enhanced, or other damages of any kind, including without limitation lost profits, lost revenue, lost data, loss of goodwill, business interruption, personal injury, emotional distress, loss of opportunity, account issues, payment issues, withdrawal issues, prize issues, tax issues, or losses arising from or relating to:

your access to, use of, or inability to use the Website;
your reliance on any Website content, review, ranking, rating, article, comment, message, link, or promotion;
User Content or conduct of any user;
Third Party content, actions, omissions, websites, platforms, products, services, policies, promotions, offers, or conduct;
any social casino, sweepstakes casino, casino-style game, gambling-related activity, free-play activity, promotion, giveaway, or scratch card;
unauthorized access, hacking, tampering, malware, system failure, or security incidents;
errors, inaccuracies, omissions, interruptions, delays, or defects on the Website; or

To the maximum extent permitted by law, if Sweeps Flow is found liable for any claim arising out of or relating to these Terms or the Website, Sweeps Flow’s total cumulative liability shall not exceed one hundred dollars ($100.00) or the amount you paid directly to Sweeps Flow for use of the Website during the six (6) months preceding the event giving rise to the claim, whichever is greater.

Some jurisdictions do not allow certain limitations of liability. In such jurisdictions, Sweeps Flow’s liability shall be limited to the maximum extent permitted by applicable law.

15. Indemnification

You agree to defend, indemnify, and hold harmless Sweeps Flow LLC and its owners, officers, directors, members, managers, employees, contractors, contributors, editors, agents, affiliates, licensors, advertisers, sponsors, successors, and assigns from and against any claims, demands, actions, proceedings, damages, losses, liabilities, judgments, settlements, costs, expenses, and fees, including reasonable attorneys’ fees, arising out of or relating to:

your access to or use of the Website;
your violation of these Terms;
your User Content;
your violation of any law, regulation, or third-party right;
your participation in any Third Party website, platform, social casino, sweepstakes casino, promotion, offer, or activity;
your fraud, misrepresentation, negligence, willful misconduct, or unlawful conduct; or
any dispute between you and any Third Party.

Sweeps Flow reserves the right, at your expense, to assume the exclusive defense and control of any matter subject to indemnification, and you agree to cooperate with our defense of such claims.

16. Dispute Resolution; Binding Arbitration; Class Action Waiver

Please read this section carefully. It affects your legal rights.

Except for claims that may be brought in small claims court, claims for injunctive or equitable relief relating to intellectual property rights, unauthorized access, misuse of the Website, or claims that cannot lawfully be arbitrated, any dispute, claim, controversy, or cause of action arising out of or relating to these Terms, the Website, Website content, User Content, Promotions, Third Parties, or your relationship with Sweeps Flow shall be resolved exclusively by final and binding arbitration administered by the American Arbitration Association (“AAA”) under its applicable Consumer Arbitration Rules, as modified by this section.

The Federal Arbitration Act governs the interpretation and enforcement of this arbitration agreement. The arbitration shall take place in the Commonwealth of Massachusetts, unless the arbitrator permits remote, telephone, video, or document-only proceedings. The arbitrator shall have exclusive authority to resolve all disputes concerning the interpretation, applicability, enforceability, formation, scope, or validity of this arbitration agreement, except that a court of competent jurisdiction shall decide any dispute concerning the enforceability of the class action waiver below.

You and Sweeps Flow agree that each may bring claims against the other only in an individual capacity and not as a plaintiff, class member, representative, private attorney general, or participant in any class, collective, consolidated, mass, or representative action. The arbitrator may not consolidate claims of more than one person and may not preside over any form of class, collective, consolidated, mass, or representative proceeding.

You and Sweeps Flow knowingly and voluntarily waive any right to a trial by jury and any right to participate in a class, collective, consolidated, mass, or representative action to the maximum extent permitted by law.

If the class action waiver is found unenforceable as to a particular claim or request for relief, that claim or request for relief shall be severed and brought only in a court of competent jurisdiction, and all remaining claims shall be resolved in arbitration.

You may opt out of this arbitration agreement by sending written notice to Sweeps Flow within thirty (30) days after you first become subject to these Terms. Your opt-out notice must include your full name, email address, mailing address, and a clear statement that you wish to opt out of arbitration. Opting out of arbitration will not affect any other provision of these Terms.

17. Governing Law and Venue

These Terms and any dispute arising out of or relating to these Terms or the Website shall be governed by the laws of the Commonwealth of Massachusetts, without regard to conflict-of-law rules, except to the extent federal law, including the Federal Arbitration Act, applies.

For any claim not subject to arbitration, you and Sweeps Flow consent to the exclusive jurisdiction and venue of the state and federal courts located in the Commonwealth of Massachusetts, and you waive any objection to such jurisdiction or venue.

18. Time Limit to Bring Claims

To the maximum extent permitted by law, any claim or cause of action arising out of or relating to these Terms, the Website, Website content, User Content, Promotions, Third Parties, or your relationship with Sweeps Flow must be filed within one (1) year after the claim or cause of action accrues, or it will be permanently barred.

19. Changes to the Website and Terms

Sweeps Flow may update, modify, suspend, restrict, or discontinue the Website, any content, any feature, any Promotion, or these Terms at any time, with or without notice, to the maximum extent permitted by law.

Changes to these Terms become effective when posted on the Website, unless a later effective date is stated. Your continued access to or use of the Website after changes are posted constitutes your acceptance of the updated Terms.

20. Severability

If any provision of these Terms is found invalid, illegal, void, or unenforceable, that provision shall be enforced to the maximum extent permitted by law or severed if necessary, and the remaining provisions shall remain in full force and effect.

21. No Waiver

Sweeps Flow’s failure to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision. Any waiver must be in writing and signed by an authorized representative of Sweeps Flow.

22. Assignment

You may not assign, transfer, or delegate any rights or obligations under these Terms without Sweeps Flow’s prior written consent. Sweeps Flow may assign, transfer, or delegate these Terms, in whole or in part, at any time, with or without notice, including in connection with a merger, acquisition, reorganization, sale of assets, change of control, or operation of law.

23. Entire Agreement

These Terms, together with any posted Privacy Policy, Official Rules, promotion rules, disclosures, and other policies incorporated by reference, constitute the entire agreement between you and Sweeps Flow regarding the Website and supersede all prior or contemporaneous understandings, agreements, representations, and warranties regarding the Website.
